The opportunity
We're currently looking for a Corporate Legal Counsel to join our Corporate Legal team. In this role, you will provide strategic legal advice and support across a broad range of corporate, governance, securities regulation, capital markets, finance, and transaction-related matters. You will play a key role in supporting Polestar's listed parent company and global corporate structure, helping ensure compliance with regulatory requirements while enabling the business to achieve its strategic objectives.
As part of the Legal function, you will work closely with executive management, the Board of Directors, and stakeholders across Finance, Treasury, Accounting, Sustainability, Investor Relations, and Corporate Communications. You will advise on governance matters, corporate transactions, capital markets activities, public company compliance, and other strategic initiatives that support Polestar's continued growth and transformation.
This position is located in HQ, Gothenburg, Sweden. We believe in a hybrid model when it comes to remote and onsite work, knowing that both in-person collaboration and individual focus time are important for success.
The responsibilities
In this role, you'll be a trusted business partner, providing practical legal advice to support strategic and operational decision-making across Polestar, while helping to maintain strong corporate governance and regulatory compliance.
Key responsibilities include:
- Lead and support legal work relating to capital markets transactions, including debt and equity financings and other strategic corporate finance initiatives.
- Advise on corporate governance matters relating to Polestar's listed parent company and global subsidiaries.
- Support compliance with securities regulations, SEC requirements, and NASDAQ listing rules.
- Advise on corporate policies, procedures, governance best practices, and compliance with market abuse and insider trading regulations.
- Manage and coordinate external legal counsel across multiple jurisdictions, ensuring effective delivery and budget oversight.
- Partner with senior stakeholders across the business to provide pragmatic legal advice that balances risk management with commercial objective.
The ideal candidate
To succeed in this role, you'll need excellent legal judgment, strong business acumen, and the ability to navigate complex legal matters in a fast-paced international environment. You combine technical legal expertise with a practical, solution-oriented mindset and are comfortable working independently while collaborating effectively with senior stakeholders across the organization. You thrive in a dynamic environment where priorities evolve, and you enjoy working on a diverse range of high-impact corporate and strategic matters.
In addition, you'll need the following qualifications:
- Master degree in Law (LLM), preferably from relevant Swedish, U.S., or other European university.
- Extensive relevant experience (approximately 7+ years), including experience from a leading law firm and in-house legal roles within a global publicly listed company.
- Strong experience in securities regulation, disclosure requirements, capital markets transactions, corporate finance, M&A, and general corporate matters.
- Knowledge of Swedish, U.K. and/or U.S. corporate law.
- Proven experience advising on public company compliance, corporate governance, and stock exchange regulations.
- Experience of supporting a Board and/or Committee, preparing Board and Committee materials, including advising on governance processes and regulatory requirements.
- Experience managing external legal counsel and coordinating support across multiple jurisdictions.
- Excellent written and verbal communication skills in English.
Beneficial, but not required:
- Experience with SEC, NASDAQ and Sarbanes-Oxley rules and compliance.
- Familiarity with Loan Market Association documentation.
- Experience managing complex litigation matters, particularly in the U.S.
- Familiarity with IFRS accounting and audit practices.
- Familiarity with U.S. and European audit practices
- Experience with equity incentive plans.
- Additional European languages and/or Mandarin proficiency
