Main purpose
If you want company secretarial work that moves at the speed of the business, this is it. You’ll take ownership of a broad portfolio of companies spanning multiple jurisdictions, as part of a global team delivering this function for group companies worldwide. Alongside the broader portfolio, you will provide company secretarial support to the group’s financing teams – managing the corporate documentation behind live transactions. This is a role for someone who thrives on variety and pace, is equally comfortable switching between strategic thinking and hands-on delivery and wants their work to sit at the centre of a business where decisions move fast and matter.
This role is a 12 month - FTC
Key responsibilities
- Document drafting and execution – Draft, review, coordinate and manage the timely and accurate execution of legal and corporate documents, with emphasis on precision, legal compliance, and adherence to governance standards.
- Corporate record-keeping – Manage corporate legal administration and record-keeping for a broad portfolio of entities across multiple jurisdictions, including maintenance of statutory registers and minute books.
- Financing documentation support – Support the Finance team by arranging the drafting, negotiation, and approval of corporate documentation for financing facilities and other arrangements across multiple group companies, including support for the preparation, execution, and tracking of parent company guarantees (PCGs) to ensure timely delivery and proper approvals.
- Corporate projects and transactions – Provide support on corporate projects and transactions, including group restructurings and ad hoc legal matters.
- Document management and records – Implement and oversee the document management system to ensure meticulous record-keeping, efficient retrieval, and maintenance of audit trails, supporting business continuity and adherence to document retention policies and data protection regulations.
- Day-to-day administration – Manage and respond to daily routine administrative requests (including filings and signature coordination) received via the shared Company Secretarial inbox, prioritising effectively and ensuring timely resolution.
- External relationship management – Establish and maintain professional relationships with external parties including auditors, legal advisors and corporate service providers across relevant jurisdictions.
- Internal stakeholder liaison – Liaise with and support internal functions including legal, tax, finance, and treasury.
Required qualifications
- At least 5 years relevant work experience gained in an in-house legal or company secretarial department, a law firm or company secretarial service provider.
- A strong grounding in company secretarial practice is essential; familiarity with multiple jurisdictions is highly desirable.
- A relevant academic background; a law degree and/or professional qualification (eg. ICSA/CGI)
Skills & Competencies
- Excellent written and verbal communication skills in English; additional languages are a bonus.
- Proficient in MS Office, with hands on experience using GEMS or equivalent entity management software.
- Meticulous and well organized; with a track record of juggling multiple priorities against tight deadlines without letting the details slip.
- Self-motivated and comfortable working independently.
